Delivery :Unless otherwise specifically provided, shipment will be scheduled after acceptance of an order resulting from our quotation in conformance with the buyer?s requirements, as far as possible, but subject to priority and scheduling requirements, changes in production schedules, export or other license requirements and government allocations and directives. Seller will make every effort to keep the buyer informed as to the possible shipping date. Postponement of delivery or failure to give notice of delay will not, render the seller liable or constitute grounds for cancellation. Seller will use its best efforts to deliver as specified herein but shall not be liable for delays in delivery occasioned by any cause beyond its control. Shipments made F.O.B. shipping point shall be at the risk of the buyer, who shall make all claims to the carrier in the event of damage to shipped material or losses in transit. Buyer shall notify seller in writing relative to any shortage, within ten days of receipt of shipment.
Acceptance: The products covered by the order shall be deemed finally inspected and accepted within ten days after delivery thereof, unless notice of rejection or notice of any claim, expressed or implied, is given in writing to the seller within the said period. Acceptance as aforesaid shall be deemed full performance of the seller?s obligations hereunder save for its obligation under the below warranty.
Warranty: Seller warrants that all goods will be specified on quotation will be free from defects. No warranty as to fitness, nor any other warranty, except of title, shall be implied. Minor deviations from specifications, which do not effect the performance of the products covered hereby, shall not be deemed to constitute defects of materials or workmanship or a failure to comply with the specifications referred to herein. Notice of any claim that the products are in anyway defective shall be given the seller immediately on discovery and the seller shall thereupon correct the defects by repair or replacement without charge F.O.B. shipping point. The liability of the seller arising out of the supplying of said prod- ucts, whether based on warranty or otherwise, shall in no case exceed the cost of the parts or the products and all liability shall terminate within one year after shipment from the seller?s plant.
Payment :Terms of payment shall be known on the face of the quotation unless otherwise specified in the invoice.
Taxes: The seller?s prices do not include sales, use, excise or any other state, federal or municipal taxes. Seller is not responsible for and will not make any aforesaid taxes payments for the buyer.
Specifications: Cambridge Mill Products reserves the right to alter or discontinue any or all specifications without advanced written notice.
Damages:In no event shall any claim for consequential damages be made by either party.
Returns:All returns of product must be approved by Cambridge Mill Products in writing and return of product must be shipped prepaid to the seller?s factory in good condition within thirty days after date of purchase. All returns are subject to a 20 % restocking charge based upon the price on the quotation.
Controlling Law:The contract of sale shall be constructed in accordance with the law of the state of Ohio.
